TERMS OF SERVICE

IMPORTANT NOTICE
These Marketplace Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Landlord," or "Renter," as applicable) and StorageTrail, Inc. ("StorageTrail," "we," "our," or "us").
Please read these Terms carefully before accessing or using the StorageTrail Marketplace.
By creating an account, listing property, searching listings, requesting a reservation, booking a property, making a payment, accepting a reservation, or otherwise using the StorageTrail Marketplace, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the StorageTrail Marketplace.
These Terms are intended to govern every use of the StorageTrail platform unless a separate written agreement signed by StorageTrail expressly provides otherwise.

ARTICLE 1
DEFINITIONS
For purposes of these Terms, the following definitions apply:
"StorageTrail"
StorageTrail, Inc., its parent companies, subsidiaries, affiliates, successors, assigns, officers, directors, employees, contractors, licensors, agents, and representatives.
"Marketplace"
The online technology platform operated by StorageTrail that enables Landlords and Renters to discover, advertise, reserve, and pay for underutilized real estate.
"Platform"
The StorageTrail website, mobile website, future mobile applications, APIs, software, databases, communication tools, and related technology owned or operated by StorageTrail.
"Landlord"
Any individual or entity listing property or space for rent through StorageTrail.
Landlord includes owners, authorized agents, tenants with authority to sublease, property managers, businesses, municipalities, nonprofit organizations, and any other person legally authorized to make space available.
"Landlord"
Any individual or entity listing property or space for rent through StorageTrail.

"Renter"
Any person or business reserving or renting space through StorageTrail.
"User"
Any individual or entity accessing or using the Platform.
"Listing"
A property advertisement published on StorageTrail describing available rental space.
"Property"
Any real property, portion of real property, or area offered through StorageTrail, including but not limited to:
"Reservation"
A confirmed booking accepted through the StorageTrail Marketplace.
"Rental Agreement"
The separate transaction-specific agreement electronically executed between the Landlord and Renter for a particular reservation.
"Property Rules"
The property-specific rules established by the Landlord governing access, use, hours, restrictions, and other operational requirements.
"Rental Fee"
The recurring or one-time amount charged for use of a Property.
"Security Deposit"
Funds required by the Landlord as security for performance of the Rental Agreement.
"Recurring Payment"
Automatic periodic charges authorized by the Renter.
"Transaction"
Any reservation, payment, refund, cancellation, communication, agreement execution, or other interaction occurring through the Marketplace.
"Prohibited Property"
Items or materials prohibited by applicable law, these Terms, the Rental Agreement, or Property Rules.
"Content"
All text, photographs, graphics, videos, logos, reviews, maps, descriptions, pricing information, documents, software, and other information displayed through the Platform.
ARTICLE 2
ACCEPTANCE OF TERMS
These Terms become legally binding immediately upon any of the following:
Your continued use of StorageTrail constitutes acceptance of these Terms and any future modifications made in accordance with Article 30.
If you are accepting these Terms on behalf of a business entity, you represent and warrant that you possess authority to bind that entity.
If you do not possess such authority, you must not use the Platform on behalf of that entity.
ARTICLE 3
ABOUT STORAGETRAIL
StorageTrail is a technology company operating an online marketplace that connects individuals and businesses seeking to monetize underutilized real estate with individuals and businesses seeking storage, parking, or other lawful space.
StorageTrail does not own, lease, possess, inspect, supervise, manage, or control the Properties listed by Landlords unless expressly stated in a separate written agreement.
StorageTrail is not a warehouse operator, self-storage facility owner, bailee, insurer, property manager, or real estate broker merely by operating the Marketplace.
The contractual relationship for the rental of a Property exists solely between the Landlord and the Renter, except to the extent StorageTrail separately agrees in writing to provide additional services.
StorageTrail reserves the right to modify, suspend, discontinue, or enhance any feature of the Marketplace at any time, with or without notice, subject to applicable law.
ARTICLE 4
ELIGIBILITY
To use StorageTrail, you represent and warrant that you:
StorageTrail does not own, lease, possess, inspect, supervise, manage, or control the Properties listed by Landlords unless expressly stated in a separate written agreement.
ARTICLE 5
USER ACCOUNTS
Users may be required to create an account before accessing certain Marketplace features.
Each User is responsible for maintaining the confidentiality of account credentials and is responsible for all activity occurring under the account.
Users agree to notify StorageTrail immediately of any suspected unauthorized access or security breach.
StorageTrail reserves the right to require identity verification, business verification, proof of ownership, proof of authority, government-issued identification, or other documentation before permitting Listings, Reservations, payments, withdrawals, or continued use of the Platform.
StorageTrail may suspend, restrict, or permanently terminate any account if it reasonably believes the account has been used for fraud, misrepresentation, unlawful conduct, abusive behavior, or violations of these Terms.
Users may not create multiple accounts to evade restrictions or enforcement actions.
StorageTrail does not guarantee uninterrupted access to user accounts and may temporarily suspend access for maintenance, security investigations, fraud prevention, legal compliance, or system upgrades.
ARTICLE 6
MARKETPLACE SERVICES
StorageTrail provides an online technology platform designed to facilitate the discovery, reservation, and rental of underutilized real estate.
Subject to these Terms, StorageTrail may provide services including:

ARTICLE 7
LANDLORD RESPONSIBILITIES
Each Landlord represents and warrants that they have all legal authority necessary to offer the listed Property for rent.
The Landlord is solely responsible for the Property, including but not limited to:
The Landlord agrees to promptly update Listings whenever information changes.
The Landlord shall honor confirmed reservations except where cancellation is permitted under the Rental Agreement or required by law.
The Landlord is solely responsible for communicating any temporary closures, maintenance, construction, or other conditions affecting access.
StorageTrail is entitled to rely upon information supplied by the Landlord without independent verification.
ARTICLE 8
RENTER RESPONSIBILITIES
Each Renter agrees that they are solely responsible for determining whether a Property meets their needs before entering into a Rental Agreement.
The Renter agrees to:
The Renter is responsible for ensuring that any vehicle, trailer, boat, RV, equipment, or other stored property complies with applicable laws and Property Rules.
The Renter shall not interfere with the Landlord's operations or other users of the Property.
ARTICLE 9
PROPERTY LISTINGS
StorageTrail provides a marketplace through which Landlords may advertise available Properties.
Each Listing is created using information supplied by the Landlord.
StorageTrail does not independently verify:
Listings may include photographs, videos, maps, diagrams, AI-assisted content, usergenerated content, or other materials provided by Landlords or generated using third-party technologies.
StorageTrail does not warrant the accuracy, completeness, or suitability of Listing content.
Landlords remain solely responsible for ensuring Listing accuracy.
StorageTrail reserves the right to remove, suspend, edit, or reject any Listing at any time.
ARTICLE 10
PROPERTY RULES
Each Property may have Property Rules established solely by the Landlord.
Property Rules may include:
Property Rules become part of every Reservation and Rental Agreement.
Failure to comply with Property Rules may result in suspension of access, cancellation of the Reservation, or other remedies available under the Rental Agreement or applicable law.
StorageTrail does not create, supervise, enforce, or guarantee Property Rules.
ARTICLE 11
RESERVATIONS
A Reservation becomes effective only after:

A Reservation confirmation does not create ownership rights in the Property and grants only the contractual right to occupy the rented space under the applicable Rental Agreement.

BOOKING PROCESS

ARTICLE 13
PAYMENTS AND BILLING
StorageTrail facilitates payments through one or more third-party payment processors ("Payment Processor"), such as Stripe. StorageTrail is not a bank, money transmitter, escrow company, or financial institution unless expressly authorized by law.
All payments made through the Platform are subject to these Terms and the terms of the applicable Payment Processor.
By submitting payment information, the Renter represents and warrants that they are authorized to use the selected payment method and authorize StorageTrail and its Payment Processor to charge all amounts due under the applicable Rental Agreement.
The Renter is responsible for ensuring that payment information remains current and valid throughout the rental term.
StorageTrail reserves the right to decline, suspend, or cancel transactions that cannot be successfully processed or that appear fraudulent, unauthorized, or otherwise inconsistent with these Terms.
ARTICLE 14
RECURRING PAYMENTS
Unless otherwise stated in the applicable Rental Agreement, rentals are billed on a recurring basis.
By completing a Reservation, the Renter authorizes StorageTrail and its Payment Processor to automatically charge the designated payment method for:
Recurring charges continue until the Rental Agreement is terminated in accordance with its terms.
The Renter remains responsible for payment even if a recurring payment fails due to:
Failure of automatic billing does not waive the Renter's payment obligations.
ARTICLE 15
PAYMENT FAILURES
StorageTrail is not responsible for fees charged by financial institutions as a result of failed payment attempts.
ARTICLE 16
SECURITY DEPOSITS
Some Properties may require a Security Deposit.
The amount, purpose, conditions, deductions, and return of any Security Deposit are determined solely by the Landlord unless otherwise expressly stated.
StorageTrail may facilitate the collection or transfer of Security Deposits but does not independently determine:
Unless otherwise required by law or expressly agreed by StorageTrail, disputes regarding Security Deposits are between the Landlord and the Renter.
ARTICLE 17
REFUNDS
Refund eligibility is governed by:
StorageTrail may facilitate refunds but is not obligated to issue refunds beyond those required by applicable law or expressly authorized by the Landlord.
Refund processing times depend upon the Payment Processor and the financial institution issuing the payment method.
StorageTrail is not responsible for delays caused by third-party payment processors or financial institutions.
ARTICLE 18
CHARGEBACKS
A chargeback occurs when a financial institution reverses a payment.
If a Renter initiates a chargeback, StorageTrail may:
The Renter agrees to first contact StorageTrail regarding billing concerns before initiating a chargeback whenever reasonably possible.
Fraudulent or abusive chargebacks may result in permanent removal from the Marketplace.
ARTICLE 19
TAXES
Landlords are solely responsible for determining and complying with all tax obligations associated with renting their Property.
This includes, where applicable:
StorageTrail does not provide tax, accounting, or legal advice.
Users should consult their own professional advisors regarding tax obligations.
StorageTrail may collect or remit taxes where required by applicable law.
ARTICLE 20
CANCELLATIONS
Cancellation rights are governed primarily by the applicable Rental Agreement.
Unless otherwise specified:

Any refund, credit, or continuing payment obligation will be determined by:

A Landlord should avoid canceling confirmed Reservations except when reasonably necessary.
Repeated cancellations may result in:
StorageTrail reserves the right to cancel Reservations when reasonably necessary to protect the Marketplace, Users, or comply with legal obligations.
ARTICLE 21
SUBSCRIPTIONS AND TERMINATION OF RENTAL
Unless otherwise stated in the Rental Agreement, rentals are month-to-month.
Either party may terminate the rental in accordance with:
Termination of a Rental Agreement does not automatically terminate a User's StorageTrail account.
Recurring billing continues until the Rental Agreement has been properly terminated and all outstanding balances have been paid.
ARTICLE 22
FEES
StorageTrail may charge fees including, but not limited to:
Applicable fees will be disclosed before they are charged whenever required by law.
StorageTrail reserves the right to modify its fee structure prospectively by updating these Terms or providing other notice where required.
ARTICLE 23
THIRD-PARTY PAYMENT PROCESSORS
StorageTrail relies on independent third-party payment providers to process financial transactions.
StorageTrail does not control the operations of those providers and is not responsible for:
Users acknowledge that payment processing is also governed by the terms and policies of the applicable Payment Processor.
ARTICLE 24
ERRORS, OMISSIONS, AND INFORMATION ACCURACY
StorageTrail operates a technology marketplace that publishes information supplied primarily by Landlords and, in some cases, Renters or other third parties.
StorageTrail does not independently verify the accuracy, completeness, or reliability of Listing information before publication.
Accordingly, StorageTrail does not guarantee the accuracy of any Listing, including but not limited to:
Users acknowledge that Listings may contain inadvertent errors or omissions.
The Landlord bears sole responsibility for ensuring that Listing information remains accurate and current.
StorageTrail reserves the right, but has no obligation, to edit, correct, remove, or update Listing information at any time.
ARTICLE 25
PROPERTY CONDITION
StorageTrail does not inspect Properties.
StorageTrail does not supervise Properties.
StorageTrail does not certify Properties.
StorageTrail does not guarantee that any Property is:
Each Renter is solely responsible for determining whether a Property is appropriate for their intended use before storing property.
ARTICLE 26
NO WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM, ALL LISTINGS, ALL CONTENT, AND ALL MARKETPLACE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
STORAGETRAIL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF:

INSURANCE
StorageTrail does not insure:
StorageTrail strongly recommends that:
Landlords maintain appropriate property and liability insurance.
Renters maintain insurance covering all stored property.
Users acknowledge that they are solely responsible for determining the insurance appropriate for their circumstances.
ARTICLE 28
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STORAGETRAIL SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, COST, EXPENSE, CLAIM, OR LIABILITY ARISING FROM OR RELATED TO:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STORAGETRAIL'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO A PARTICULAR TRANSACTION SHALL NOT EXCEED THE AMOUNT OF MARKETPLACE FEES RETAINED BY STORAGETRAIL FOR THAT TRANSACTION.
Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.
ARTICLE 29
RELEASE OF CLAIMS
To the fullest extent permitted by applicable law, each User releases StorageTrail and its officers, directors, employees, contractors, affiliates, successors, and assigns from claims arising out of or related to disputes between Landlords and Renters.
This includes disputes concerning:
Users acknowledge that StorageTrail is not responsible for resolving every dispute between marketplace participants.
ARTICLE 30
INDEMNIFICATION
To the fullest extent permitted by applicable law, each Landlord and each Renter agrees to defend, indemnify, and hold harmless StorageTrail, its parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, successors, assigns, and agents from and against any claims, actions, demands, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

ARTICLE 31
FRAUD PREVENTION AND IDENTITY VERIFICATIONFRAUD PREVENTION AND IDENTITY VERIFICATION
StorageTrail invests substantial resources to introduce Landlords and Renters through its Marketplace.
Accordingly, if a Landlord and Renter are introduced through StorageTrail, they agree not to intentionally circumvent the Platform for the purpose of avoiding agreed Marketplace fees associated with that transaction.
Nothing in this Article prohibits the parties from engaging in lawful business relationships beyond the scope of the transaction introduced through StorageTrail, provided doing so does not violate any applicable agreement between the parties or applicable law. StorageTrail reserves the right to suspend or terminate Marketplace access for Users who intentionally attempt to circumvent the Platform in violation of these Terms.
StorageTrail may request:

ARTICLE 32
ANTI-CIRCUMVENTION
The Platform, including its software, design, layout, user interface, databases, graphics, logos, trademarks, service marks, trade dress, text, source code, object code, compilations, and other proprietary materials are owned by StorageTrail or its licensors and are protected by applicable intellectual property laws.
Accordingly, if a Landlord and Renter are introduced through StorageTrail, they agree not to intentionally circumvent the Platform for the purpose of avoiding agreed Marketplace fees associated with that transaction.
Except as expressly permitted by these Terms, Users may not:
StorageTrail reserves the right to suspend or terminate Marketplace access for Users who intentionally attempt to circumvent the Platform in violation of these Terms.
ARTICLE 33
PLATFORM AVAILABILITY
StorageTrail continually improves its Marketplace and may perform maintenance, updates, security enhancements, or feature modifications.
The Platform may occasionally become unavailable because of:
StorageTrail does not guarantee uninterrupted access to the Platform and shall not be liable for temporary interruptions or resulting losses, except to the extent required by applicable law.
ARTICLE 34
INTELLECTUAL PROPERTY
StorageTrail continually improves its Marketplace and may perform maintenance, updates, security enhancements, or feature modifications.
Accordingly, if a Landlord and Renter are introduced through StorageTrail, they agree not to intentionally circumvent the Platform for the purpose of avoiding agreed Marketplace fees associated with that transaction.
Except as expressly permitted by these Terms, Users may not:

All rights not expressly granted are reserved.
ARTICLE 35
USER CONTENT
Users retain ownership of content they submit to the Platform, including photographs, videos, descriptions, pricing, reviews, and other materials ("User Content").
By submitting User Content, the User grants StorageTrail a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:
such User Content solely for operating, improving, marketing, and promoting the Marketplace
Users represent that they possess all necessary rights to grant this license.
Users remain solely responsible for User Content.
StorageTrail may remove User Content at any time.
ARTICLE 36
ACCEPTABLE USE
Users agree to use the Platform only for lawful purposes.
Users shall not:

PROHIBITED CONDUCT
Without limiting Article 36, Users shall not:
StorageTrail reserves the right to immediately suspend or terminate accounts engaged in prohibited conduct.

USER FEEDBACK
Users may voluntarily submit ideas, feature requests, suggestions, comments, improvements, or other feedback regarding the Marketplace.
Users acknowledge that StorageTrail may collect information necessary to:

Users waive any claim arising from StorageTrail's use of submitted ideas
ARTICLE 39
PRIVACY
StorageTrail's collection and use of personal information is governed by its Privacy Policy, which is incorporated into these Terms by reference.
Users acknowledge that StorageTrail may collect information necessary to:

ELECTRONIC COMMUNICATIONS
By using the Platform, Users consent to receive communications electronically.

ELECTRONIC SIGNATURES
Users agree that clicking:
or applying an electronic signature constitutes their legal signature to the fullest extent permitted by applicable law.
Electronic signatures shall have the same legal effect as handwritten signatures.
Users agree not to dispute the enforceability of an electronically executed agreement solely because it was executed electronically.
ARTICLE 42
DISPUTE RESOLUTION
StorageTrail encourages Users to resolve disputes directly whenever practical.
Nothing in these Terms prevents StorageTrail from attempting to facilitate communication between Users; however, StorageTrail has no obligation to mediate disputes.
Except where prohibited by applicable law, Users agree that disputes involving StorageTrail shall be governed by the dispute resolution provisions contained in these Terms.
Note: Before launch, have California counsel determine whether arbitration, court litigation, or a hybrid approach is best for your business model.
ARTICLE 43
GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles, except where another jurisdiction's law is required by applicable law.
Subject to any valid arbitration agreement or mandatory legal requirements, the parties consent to the jurisdiction of the state and federal courts located in California.
ARTICLE 44
ATTORNEYS' FEES
To the extent permitted by applicable law, the prevailing party in any legal action arising from these Terms may recover its reasonable attorneys' fees, court costs, and litigation expenses, if authorized by applicable law or contract.
Nothing in this Article limits any rights that cannot legally be waived.
ARTICLE 45
ASSIGNMENT
Users may not assign or transfer their rights or obligations under these Terms without StorageTrail's prior written consent.
StorageTrail may assign these Terms, in whole or in part, in connection with:
These Terms shall bind and benefit the parties and their permitted successors and assigns.
ARTICLE 46
SURVIVAL
The following Articles survive termination of these Terms to the extent applicable:

SEVERABILITY
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.
The invalid provision shall be modified only to the minimum extent necessary to make it enforceable while preserving its original intent.
ARTICLE 48
RELATIONSHIP OF THE PARTIES
StorageTrail operates solely as an independent technology marketplace.
Nothing contained in these Terms, any Listing, Reservation, Rental Agreement, or other communication shall be construed as creating any of the following relationships between StorageTrail and any User:
Each Landlord and Renter acts solely on their own behalf.
StorageTrail does not control the day-to-day operations of any Property or the conduct of Users.
ARTICLE 49
THIRD-PARTY SERVICES
The Platform may integrate with or rely upon third-party providers, including but not limited to:

MODIFICATIONS TO THE PLATFORM
StorageTrail continually develops and improves the Marketplace.

ARTICLE 52
NOTICES
Except where prohibited by law, Users agree that StorageTrail may provide notices electronically.

Failure to receive notice because of outdated contact information shall not invalidate otherwise effective notices.
ARTICLE 53
NO WAIVER
Failure by StorageTrail to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

HEADINGS
Section titles and headings are included solely for convenience and shall not affect interpretation of these Terms.
ARTICLE 55
ENTIRE AGREEMENT

These documents supersede all prior discussions, negotiations, representations, understandings, and agreements relating to the Marketplace.
